Mergers & acquisitions

From deal structuring and heads of terms to negotiating definitive documents – when it comes to mergers & acquisitions, it pays to have an expert by your side. Our dedicated M&A team has a broad experience (buy-side and sell-side) of working with a range of client businesses, structures and transactions.

Institutions, companies and owner managers instruct us on a wide range of deals, which often involve multiple jurisdictions. Whether advising sellers or buyers, we recognise that whilst completion can be transformational for the business, the process leading to it can require substantial management input at the same time as continuing to run their business. Our clients value not only our commercial advice and cost efficient service but also our support and guidance through the process, deploying our internal resources to supplement the business and lighten their task lists.

Our work covers the full spectrum of M&A needs, including structuring, targeted legal due diligence (with input from our specialist M&A support teams), transactional tax advice, debt finance, and preparation and negotiation of transaction documentation to achieve your ultimate objectives.

Our experienced transactional deal teams leverage technical legal knowledge, current market practice and sound commercial acumen to deliver the highest standards of transaction management and client service. You will benefit from a high quality and responsive service from a core team, in the knowledge that through them you are able to access our entire firm’s experience and expertise.

Much of our work is on cross-border transactions, with a particular focus on UK, Middle East and Asia. Our geographical presence (including through our global Interlaw network of lawyers in 150 countries), together with our understanding of multi-jurisdictional transactions allow seamless delivery and provide a strong commercial advantage in this complex field.

In each year we act on deals totaling over £1 billion. Whilst often real estate or infrastructure focused, our deep expertise includes deals in the hotel, leisure, technology, healthcare and power sectors in particular. Whatever the nature of the deal, our clients can always be certain of a dedicated, focused and proactive approach.
