International law firm Trowers & Hamlins has advised Smiths (Gloucester) Limited on its acquisition of a waste management business based in Oxfordshire from McCarthy Marland.
Smiths is a family-owned and operated business, proudly run by the Smith family since its founding in 1982. Operating across the South West and Wales, Smiths offers a comprehensive range of services spanning waste management and skip hire, transport and plant hire, construction, demolition and asbestos removal, and wider support services. The acquisition strengthens Smiths' presence in Oxfordshire and the surrounding areas and represents a further significant step in the company's ambitious growth strategy.
The transaction involved corporate, employment, real estate, environmental and planning workstreams, with two key areas of particular complexity: the TUPE considerations in respect of the transferring workforce, and the mechanics of acquiring the business, property and various associated assets.
Stuart Mathews (Corporate Partner) and Jonathan Holloway (Corporate Senior Associate) led the Trowers team from the firm's Exeter office, which comprised lawyers from across the firm's Corporate, Employment, Real Estate, Environmental and Planning practices, including, Lucie Allen (Real Estate Senior Associate), and John Turnbull (Employment Partner) and Stephanie Taylor (Employment Senior Associate).
Stuart Mathews said:
"We are delighted to have supported Smiths on this acquisition. We greatly value our long-standing relationship with Smiths and it was a pleasure to work again with Rebecca, who approached this deal with real pragmatism and determination to get it over the line. This acquisition is further evidence of Smiths' exciting and ambitious growth strategy, which we look forward to continuing to support"
Commenting on the transaction, Rebecca Pullin, Director of Smiths (Gloucester) Limited, said:
"This was an important strategic acquisition for Smiths and one that presented a number of complexities across multiple legal disciplines. Stuart, Jonathan and the wider Trowers & Hamlins team were exceptional throughout, bringing together specialist expertise from across the firm and providing practical, commercially focused advice at every stage of the transaction. Their commitment, responsiveness and ability to find solutions to challenges as they arose gave us confidence throughout the process and played a significant role in bringing the deal to a successful conclusion. We greatly value our relationship with Trowers and look forward to working together on future opportunities."
