Trowers & Hamlins advise Swanton on loan finance facility and further corporate acquisitions

Top 40 law firm Trowers & Hamlins has advised Swanton Care & Community Limited and its wider group (Swanton) on the refinance of their existing loan facilities and further corporate acquisitions of Values in Care (Holdings) Limited (Values in Care) and G.R.S. Care Limited (GRS).

Both companies operate in the care sector and follow the acquisition of Courtyard Care Limited in January 2019, a company located in the North West of England specialising in care for children. Swanton is owned by healthcare specialist private equity investor, Apposite Capital.

Founded in 2003, today Values in Care has 17 residential care homes in Wales, providing specialist residential care for adults with complex learning disabilities, complex mental health and challenging needs.

The acquisition of Values in Care increases Swanton's portfolio from operating 24 care homes to 41 care homes across England, Scotland and Wales.

GRS is a provider of supported living & domiciliary care in South West Wales delivering over 2,000 hours of care each week complementing Swanton’s existing residential services in the area and allowing the business to offer a more complete care pathway.

Anne-Laure Meynier, who led the acquisitions for Apposite Capital said:

Swanton is now supporting c. 430 people across the UK.”

The multidisciplinary Trowers team worked alongside Apposite and Swanton bringing together expertise across the corporate, property and banking teams.

Alison Chivers managed the corporate acquisitions with support from Jenny Ireland and Rachael Hershman; Imogen Fisher led the banking team comprising Helen Fysh, Jonathan Grosvenor and Sophia Bell; and Matt Holbrook led on property with support from Anna Metham, Joe Hawthorne, Lucy Dodd and Rachel Vaughan.
