International law firm, Trowers & Hamlins, has advised Rapidrop Global on the sale of 40% of its shares to private equity investor, British Growth Fund (BGF).
Headquartered in Cambridgeshire, Rapidrop designs and manufactures fire sprinkler systems and infrastructure components. The company is accredited by global regulatory bodies and supplies over 80 countries.
BGF specialises in working with investors and management teams across the UK to drive long-term, sustainable growth, with a focus on small-medium enterprises.
Trowers advised Rapidrop Group and its shareholders, Daniel Gill and Rebecca Park, whose father founded the business, on the terms of BGF's investment.
Riccardo Abbate, Partner in Trowers & Hamlins' Corporate team, commented:
"It was a pleasure to have supported Rapidrop and its shareholders on this significant investment which will strengthen its international market growth and product development. The terms of the investment reflected the co-investment nature of the arrangement, given that the existing shareholders of Rapidrop remain majority shareholders of the group.
We look forward to continuing to work closely with Rapidrop and its shareholders as the business identifies and develops new opportunities and further grows its national and international presence."
Chris Shelley, newly appointed Chief Executive Officer at Rapidrop, said:
“This provides a fantastic platform to further enhance our operations and capitalise on the excellent opportunities we have for growth. I look forward to continuing to work closely with Trowers & Hamlins and the entire Rapidrop team to deliver the next chapter of the group's success."
Daniel Gill and Rebecca Park, the co-investor shareholders with BGF of Rapidrop, said:
"We are delighted by the advantages that BGF's investment will bring to Rapidrop's business. We look forward to working with Rapidrop's management team and BGF to help further the success of this business that was founded by our father. The proactive, commercial and insightful advice on this transaction exemplified the counsel we have come to expect and value from Riccardo Abbate and his team at Trowers & Hamlins."
This multi-jurisdictional transaction was led by Riccardo Abbate, Corporate and Commercial Partner in Trowers & Hamlins' UK team, supported by: Ayda Habboush, Angela Alvey, Emilia Smart, Natasha Blackmore, Will Green, Daniya Ahmed and Matteo Silva (Corporate); Alex Barnes (Tax); Katie Evans (Property); Lara Marsden (Lending); Imogen Reseigh (Employment); and Bill Jefferies, Nick Green, Shiladitya Majumdar and Nayel AlBorshaid.
