International law firm Trowers & Hamlins has advised ForViva on a large scale borrowing and refinancing deal.

This included acting as UK counsel on ForViva's debut US private placement and advising on the refinancing of the group's existing bank facilities. All of these facilities make use of a new group financing structure.

ForCapital, the group's treasury vehicle is the named borrower under the bank facilities and issuer of the notes. Monies borrowed are available to be on-lent to the Group's two major housing providers, City West and Villages. The firm worked alongside US advisors, Morrison Foerster, on the private placement and led on the refinancing and structuring of the intra-group lending. Barclays Capital, were appointed as agent for the placement, securing investment from Barings group of companies.

These transactions have generated additional financial capacity which will be used to fund the Group's continued growth and diversification. Partner Neil Waller, who led on the deal said:
