Governance is an increasingly important issue for registered providers to address; whether from the focus of internal governance structures (which are a key issue for the Homes and Communities Agency) or else the increasing need to establish alliances and partnerships to achieve efficiency savings and/or to provide more certain access to grant funding.

Our Governance team advises registered providers (as well as charities and other not for profit and public sector organisations) on corporate, regulatory and commercial matters.

In particular, we advise on

  • group structures
  • joint ventures
  • charity law
  • regulatory issues (including the application of Schedule 1 of the Housing Act 1996)
  • corporate governance issues (including constitutional and vires advice).

We have acted on most of the sector's mergers and have devised innovative models to overcome regulatory hurdles. We have helped implement structures to reflect organic growth and/or diversification (including the establishment of structures to facilitate tax planning strategies), as well as mergers and collaborations between previously independent organisations (whether by way of true merger or by establishing new structures).
