We specialise in providing advice in relation to a wide range of commercial transactions, covering private sector mergers and acquisitions, public sector contracts, housing stock transfer contracts and affordable housing providers reorganisations. We act for sellers and purchasers, transferors and transferees, public bodies such as local authorities and private sector companies. We also act for many non-profit-making organisations.

In relation to commercial transactions, we regularly advise our clients on the main contractual rights and obligations pertaining to the pension arrangements, and the relevant statutory obligations that apply. In particular we often advise on obligations in relation to future pension commitments and obligations in relation to the treatment of employees' past service pension benefits. Key areas of advice on private sector transactions include due diligence reporting, and advice on complying with rules and procedures laid down by the Pensions Regulator. Key areas of advice on public sector transactions involve the interpretation of the Statement of Practice and the Codes of Practice that apply to protect public sector and ex-public sector employees. Key areas of advice in relation to the affordable housing sector involve reviewing employer debt issues that may arise with group restructurings, and particular advice addressing employer participation in the local government pension scheme or the social housing pension scheme.

Advice in relation to defined benefit pension schemes (for example final salary type pension schemes) is essential in the transactional context due to the onerous funding liabilities many pension scheme employers face.
