Trowers & Hamlins advises Cambian on second post-IPO acquisition

Trowers & Hamlins is delighted to have advised specialist behavioural health service provider Cambian on its acquisition of Woodleigh Community Care, a specialist care provider for adults with learning disabilities and complex behavioural needs.  The acquisition is Cambian's second since listing on the London Stock Exchange in April 2014.

The acquisition of Woodleigh Community Care brings a number of additional facilities under Cambian's control, including 152 beds across 13 residential homes and supported living units and one hospital in the Yorkshire and Humber region.

Cambian is one of the largest providers of specialist behavioural health services and provides a range of services for adults and children, including services for patients with acquired brain injuries, autism and learning disabilities.

Saleem Asaria, Cambian's CEO, commented: “We are delighted to have acquired Woodleigh and believe that the acquisition will bring great value to Cambian.  It enables us to enter the Yorkshire and Humber region, and importantly brings increased specialist capability to the Group which will enable us to extend the services we offer across the business.  We are committed to being the highest quality provider of specialist behavioural and health services for children and adults and today’s transaction complements this vision.”

Trowers & Hamlins performed legal and property due diligence and also advised Cambian on the acquisition through a competitive auction process with multiple bidders.

Private equity partner and care specialist Tim Nye advised on the acquisition with assistance from Corporate senior associate Alison Chivers.
