Trowers & Hamlins advises Cambrian Mining on £56.2m acquisition of Coal International

Trowers & Hamlins, the City law firm, is advising Cambrian Mining plc on its proposed takeover of Coal International plc.

The two AIM-listed mining companies have just announced the terms of a recommended all-share deal that values Coal International at £56.2 million. The acquisition is expected to be finalised in July, subject to shareholder approval.

Cambrian is a diversified mining house that manages and supports operations in coal and gold/antimony mining worldwide, with net assets of £156.3 million.

Coal International is a coal mining and investment company. Its mining operations are located in West Virginia, USA and last year the company had a turnover of £18.1 million.

The takeover will be structured as a “scheme of arrangement”. Under the proposal, scheme shareholders will receive one new Cambrian share for every 3.25 Coal International shares held.
